Affiliate Program Terms

Purpose and admission

The program allows an approved creator (the “Partner”) to promote the offers of the publisher identified in the website legal notice (the “Publisher”) using a personal link or code, in return for commission on eligible sales. Accepting these terms when applying does not guarantee admission. The agreement takes effect when the creator profile is activated.

The Publisher may approve or reject an application based on audience relevance and content quality and compliance, subject to applicable law. No sales volume, income, exclusivity or minimum term is guaranteed.

Eligibility and independence

The applicant certifies that they are at least 18, have legal capacity, control the declared channels and provide accurate, current information. The Partner acts independently and may not represent or bind the Publisher. The program creates no employment, agency, partnership or franchise relationship.

Commercial disclosure

Every promotional publication must comply with applicable law, regulator guidance and platform rules. Its commercial nature must be disclosed immediately, clearly and visibly, including with “Advertising” or “Commercial collaboration” and the platform’s paid-partnership tools where appropriate. The disclosure may not be hidden among hashtags or behind a “see more” action.

Content and prohibited practices

The Partner must describe features, pricing, performance and limitations fairly. Misleading claims, fabricated results, spam, impersonation, unlawful content, self-referrals, fake traffic or orders, cookie stuffing, consent circumvention, unauthorised coupon websites, brand-keyword advertising, lookalike domains and attribution manipulation are prohibited.

Links, codes and attribution

Links and codes are personal, revocable and limited to declared or authorised channels. With visitor consent, link attribution may be retained for 30 days. Subscription commissions are limited to 365 days from first attribution. Server records govern, subject to demonstrated error, and may be corrected for fraud, duplication, cancellation or technical error.

Commissions

Unless a custom rate appears in the creator dashboard, commission is 25% of eligible revenue, then 33% from the sale after cumulative eligible revenue reaches €500. Eligible revenue is the amount actually collected after discount, excluding taxes, refunds, cancellations, unpaid amounts, disputes and chargebacks. Commission becomes payable after a 30-day review period. Adjustments may be offset against future commission.

Future rate changes do not apply retroactively to validated sales. Material changes are notified before taking effect, except where an immediate legal, security or anti-fraud change is required.

Payouts, records and tax

Payable commission is settled manually, generally monthly, after legally required identity, payment, professional-status, tax and invoice information has been provided. Payment may be held, without cancelling valid amounts, while required information is incomplete or inconsistent.

The Partner is solely responsible for registration, invoicing, social contributions, taxes and professional obligations in their country. Statement disputes should be sent with supporting details to support@latence.app.

Brand and intellectual property

While the profile is active, the Publisher grants a personal, non-exclusive, non-transferable and revocable right to use supplied promotional assets solely for the program. No other right in the brand, software or content is transferred. Brand assets must be removed when participation ends.

Suspension and termination

Either party may end participation in writing. The Publisher may immediately suspend a link, code or payout in the event of reasonably suspected fraud, user or brand risk, breach or legal requirement, while allowing the Partner to provide observations. Valid commission already earned remains payable after checks and adjustments; no commission is due on fraudulent, prohibited, refunded or post-deactivation transactions.

Liability

Each party remains responsible for its own acts and duties. The Partner is responsible for content, statements, acquisition methods, tax duties and third-party rights, and indemnifies the Publisher against direct consequences of a third-party claim caused by a proven breach.

Except for gross or intentional fault, personal injury, personal-data breaches or mandatory law, neither party is liable for indirect loss. The Publisher’s total program liability is limited to commission paid or payable during the preceding 12 months. French-law force majeure excuses the affected delay.

Personal data

Account identity, email, channels, declared audience, communications, attribution, sales, commission, supporting documents and payout data are processed to review applications, operate the program, prevent fraud, comply with law and defend legal rights. They are not sold.

Rejected applications are retained for up to 12 months after the latest decision or interaction unless evidence or law requires longer retention. Active Partner data is retained throughout the relationship and applicable limitation periods; accounting documents may be retained for 10 years. Rights of access, rectification, erasure and restriction may be exercised through support@latence.app, subject to legal retention duties.

Acceptance and evidence

Submitting the mandatory checkboxes from an authenticated account records the account UID and email, accepted version and server timestamp. These records evidence acceptance without excluding other legally admissible evidence.

Changes

The Publisher may update the terms to develop the program, comply with law or prevent abuse. Material changes are communicated before application. A Partner who disagrees may leave before they take effect, and express renewed acceptance may be required.

Governing law and contact

French law governs these terms. The parties first seek an amicable resolution. Failing that, disputes are submitted to the courts having jurisdiction under applicable rules. Contact: support@latence.app.
